Ownership of Intellectual Property: All designs, concepts, illustrations, research, and strategies developed by Designerd, or its subcontractors, remain the intellectual property of Designerd unless a separate agreement is made to transfer ownership. Transfer of rights, if agreed, will only occur upon receipt of full payment.
Usage of Copyrighted Materials:
- Designerd-Created Assets: Copyright for all visual designs, branding, and creative materials resides with Designerd. Clients are granted limited usage rights strictly for the purposes defined in their service agreement.
- Client-Provided Content: Text, photography, and other content provided by the client remain their intellectual property. Designerd assumes no responsibility for ensuring these materials are free from copyright infringement unless agreed otherwise.
Licences and Third-Party Assets: Designerd procures licences for images, software, and other tools as required for projects. These licences are non-transferable unless specified. Any additional use of licensed materials beyond the project scope will require separate permissions or licensing fees.
Subcontractors’ Contributions: Assets created by subcontractors engaged by Designerd remain protected under copyright law. Designerd ensures appropriate agreements with subcontractors to safeguard the client’s usage rights while protecting the creator’s intellectual property.
Unauthorised Use:
- Clients may not resell, redistribute, or claim ownership of any designs or creative assets developed by Designerd without express written consent.
- Any unauthorised use, modification, or reproduction of assets will be regarded as a breach of these terms and may result in legal action.
Project-Specific Rights:
- Rights to use materials are limited to the agreed project deliverables and specified usage outlined in the service contract.
- Full ownership transfer (if applicable) will only occur after complete settlement of all outstanding invoices.
Disputes and Resolution: Any disputes regarding intellectual property will be governed under the applicable intellectual property laws of South Africa. Clients agree to mediate any disagreements before pursuing legal action.
Updates to Terms: These terms may be updated periodically to ensure compliance with evolving copyright laws and to better protect the interests of both parties.
